CODE OF REGULATIONS (CONSTITUTION) OF Article I (a) The name of this organization shall be: THE OHIO MUNICIPAL ATTORNEY'S ASSOCIATION (b) This Code of Regulations shall hereinafter be referred to as the "Constitution." Article II The purpose of this organization is for the general improvement of the administration of the legal services rendered to the municipalities of Ohio through the advancement of the officers of municipal law departments in the knowledge and understanding of the law of municipal corporations and the administration of the legal affairs of their respective municipalities by means of their cooperative efforts in the study and discussion of legislation, court decisions and administrative rulings, and all legal and other matters pertaining to municipal government in Ohio; to strengthen local government and its administration in Ohio by furnishing information to its members so that they may better perform the duties incumbent upon them, by fostering and encouraging career service in municipal government, by striving to maintain and advance the fullest measure of home rule in local government and by creating a public awareness that the vitality of democracy depends upon the strength of its municipal institutions; and to cultivate a spirit of mutual helpfulness and good fellowship among its members. Article III Membership in this organization shall be limited to municipal corporations, and shall be secured in the manner provided by the Executive Committee. Article IV The activities of this Association shall be financed by the collection of a registration fee from delegates and representatives of member municipalities and other persons in attendance at any meeting or conference. The amount of such registration fee shall be determined as provided by the Executive Committee. In addition, the Executive Committee is authorized to establish an annual membership fee if deemed advisable. Article V The officers of the Association shall be: President, First Vice-President, Second Vice-President and Secretary-Treasurer. The officers, except the Secretary-Treasurer, shall be members of the law departments of a member municipality, shall be elected in accordance with the provision set forth in Article VIII and shall serve for a period of one year, or until their successors have been duly elected and qualified, but not beyond the period of municipal employment. A Secretary-Treasurer shall be appointed by majority vote of the Executive Committee and shall serve at the pleasure of the Executive Committee. In the event of a vacancy in the office of President, the First Vice-President shall become President. Any other vacancy shall be filled by the majority vote of the Executive Committee present at any meeting to serve the remainder of the unexpired term. Duties of the officers shall correspond to those which usually devolve upon such officers, provided that the Secretary-Treasurer shall perform such other duties and exercise such other powers as the Executive Committee may authorize. (7/17/86) Article VI There shall be an Executive Committee consisting of the President, First Vice-President, Second Vice-President, and the most immediate Past President. It shall be the duty of the Executive Committee to transact the business of the Association including the arrangement of meetings as to the time, place and program; to study all matters referred to it by the Association; and to perform other duties pertaining to the advancement and welfare of the Association. (7/17/86) Article VII Regular Meetings The Association shall hold not less than one meeting of the membership each year, which shall be the regular annual meeting to be held no later than December 15 of each year, and at which time the officers shall be chosen for the ensuing year. The place and date of the regular annual meeting shall be established in the manner determined by the Executive Committee. Regular meetings of the Executive Committee shall be held as provided for by the Executive Committee. Special Meetings Special meetings of the membership or the Executive Committee may be called by the President, Vice-President, or by any two members of the Executive Committee, upon at least twenty-four (24) hours notice to the membership or Executive Committee. Any matter may be considered at a special meeting of the membership or the Executive Committee. Notice All notices required by the Constitution to be given to members of this Association shall be addressed to the chief legal officer of each member. The failure of a member or member of the Executive Committee to receive notice as required by this Constitution, or the failure to give such notice shall not affect the validity of any action taken at a meeting of the membership or the Executive Committee. Article VIII Membership Meetings Normally all voting shall be on a popular basis of one vote for each representative of members attending, however, any member may request a constitutional vote. In such case each member municipality in attendance at any meeting shall be entitled to one vote. The constitutional vote of any member shall be cast by its chief legal officer or his duly authorized representative. Each member shall be entitled to send any number of representatives to any meeting of the Association. Executive Committee Meetings All voting shall be on a popular basis of one vote for each of the Offices of President, First Vice-President, Second Vice-President, and the most Immediate Past President. (7/17/86) Article IX Such by-laws as may be deemed necessary for the proper conduct of this Association may be adopted and amended from time to time by a majority vote of the members present at any membership meeting, provided a copy of such proposed by-law or amendment thereto shall have been presented in writing to the Executive Committee thirty (30) days preceding the meeting by which action is to be taken thereon, and the members have been advised of the content of such proposal prior to the meeting at which action is to be taken. Such notice to the Executive Committee and the membership may be waived by a two-thirds vote of the members voting thereon at any meeting of the membership. The Executive Committee may adopt such rules as it deems necessary for the conduct of its meeting. Article X This Constitution may be amended by a majority of the votes cast by the members present at any meeting, voting in accordance with the provisions of Article VIII hereof, provided copies of any such proposed amendment shall have been presented in writing to the Executive Committee and copies mailed to members entitled to vote thereon not less than thirty (30) days prior to such meeting, Such notice to the Executive Committee and the membership way be waived by a two-thirds vote of the members voting thereon at any meeting of the membership. Schedule The person elected as Vice-President by the members at their annual meeting held on July 17, 1986 for the year 1987 shall serve as First Vice-President for the year 1987, and the person elected as Secretary by the members at their annual meeting held an July 17, 1986 for the year 1987 shall serve as Second Vice-President for the year 1987.
