CONSTITUTION OF
MUNICIPAL FINANCE OFFICERS ASSOCIATION OF OHIO
Article I
NAME
The name of this organization shall be:
THE MUNICIPAL FINANCE OFFICERS ASSOCIATION OF OHIO
Article II
PURPOSE
The purpose of this organization shall be the improvement of the administration of the
fiscal affairs of the municipal governments of Ohio and-to provide an opportunity for the
exchange of information and ideas among the fiscal officers of Ohio, to the end that they
may render a more efficient and economical, and in general a more satisfactory service to
the citizens of their respective communities.
Article III
MEMBERSHIP
Membership in this organization shall be limited to municipal corporations, and shall be
secured in the manner provided by the Executive Committee provided that the Executive
Committee may create special categories of membership in the organization for financial
institutions, members of the accounting profession, and other persons who have contributed
outstanding service to the organization.
Article IV
FINANCES
The activities of this Association shall be financed by the collection of a registration
fee from delegates and representatives of member municipalities and other persons in
attendance at any meeting or conference. The amount of such registration fee shall be
determined as provided by the Executive Committee. In addition, the Executive Committee is
authorized to establish an annual membership fee if deemed advisable.
Article V
OFFICERS
The officers of the Association shall be: President, Vice President, Treasurer and
Secretary and Assistant Secretary-Treasurer. All officers other than the Assistant
Secretary-Treasurer shall be finance or accounting officers of a member municipality,
shall be elected in accordance with the provisions set forth in Article VIII and shall
serve for a period of one year, or until their successors have been duly elected and
qualified, but not beyond the period of municipal employment. The Assistant
Secretary-Treasurer shall be appointed by majority vote of the Executive Committee and
shall serve at the pleasure of the Executive Committee. Duties of the officers shall
correspond to those which usually devolve upon such officers; provided that the Assistant
Secretary-Treasurer shall perform those duties and exercise those powers as the Executive
Committee may authorize, including all powers of either or both of the offices of
Secretary and/or Treasurer. In the event of a vacancy in the office of President, the Vice
President shall become the President and shall serve for the unexpired term. In the event
of a vacancy in any office other than President, the Executive Committee shall elect, by a
majority vote of its members, a qualified person to serve for the remainder of the term,
or, in the case of the Assistant Secretary-Treasurer, until such person is removed from
the office.
Article VI
EXECUTIVE COMMITTEE
(A) There shall be an Executive Committee consisting of the officers, other than the
Assistant Secretary-Treasurer, all immediate Past Presidents of the Association, so long
as they are employees or fiscal officers, the state chairman for Ohio of the Municipal
Finance Officers Association of the United States and Canada, and fifteen (15) members
elected at the same time and manner and for the same term as the officers, one such member
from each of the territories comprised in the present nine (9) Courts of Appeals District,
and six (6) members to be elected at large. (B) In the event the Executive Committee shall
create special categories of membership for financial institutions or members of the
accounting profession, one representative of each of said membership categories shall also
serve as a member of the Executive Committee. The members of the Executive Committee
representing each such special membership category shall be elected by those members of
the special membership category attending the meeting at which the officers are elected
and shall serve for a one (1) year term. (C) Any vacancy, including a vacancy in a special
membership category, shall be filled by the majority vote of the Executive Committee in
attendance at any meeting of the Executive Committee to serve the remainder of the term.
It shall be the duty of the Executive Committee to transact the business of the
Association including the arrangements of meetings as to the time, place and program; to
study all matters referred to it by the Association; and to perform other duties
pertaining to the advancement and welfare of the Association.
Article VII
MEETINGS
The Association shall hold not less than one meeting of the membership per year, which
shall be the regular annual meeting, which shall be held no later than December 15 of each
year, and at which time the officers, other than the Assistant Secretary-Treasurer, and
members of the Executive Committee shall be chosen for the ensuing year. A written notice
shall be mailed to each member at least ten days in advance of the regular annual meeting;
special meetings of the membership may be held after notice at least forty-eight (48)
hours in advance of the time of such meeting. At a special meeting of the membership only
those matters specified in the call shall be considered. The place and date of the regular
meeting shall be determined by the Executive Committee. A special meeting of the
membership or the Executive Committee may be called by the President or by any three
members of the Executive Committee. Regular meetings of the Executive Committee may be
provided for by the Executive Committee. All notices required to be given to members of
this Association by this constitution shall be addressed to the chief fiscal officer of
each such member.
Article VII
VOTING
(A) Membership Meetings - Voting at membership meetings shall be in accordance with this
division. Special membership categories shall not be entitled to vote at any membership
meeting. Voting by member municipal corporations shall normally be on a popular basis,
however, any member municipality may request a constitutional vote. In such case each
member municipality in attendance at any may meeting shall be entitled to one vote plus an
additional vote for each 100,000 or fraction thereof, of the population of such member
municipality as determined by the last federal decennial census; each member municipality
shall be entitled to send to any meeting of the Association as many delegates as it has
votes hereunder, one of whom shall be the chief fiscal officer, or a delegate authorized
by him. Each delegate shall be an officer of employee of the member municipality which he
represents. The votes of any member municipality shall be cast as a unit by its chief
fiscal officer or his duly authorized representative. In addition to such delegates each
member municipality may send as many other representatives as it may desire. (B) Executive
Committee Meetings - Each member of the Executive Committee, including members
representing special membership categories, shall have one vote on all matters coming
before the Executive Committee.
Article IX
BY-LAWS -- RULES
Such by-laws as may be deemed necessary for the proper conduct of this Association may be
adopted and amended from time to time by a majority vote of the members present at any
membership meeting, provided a copy of such proposed by-law or amendment thereto shall
have been presented in writing to the Executive Committee thirty (30) days preceding the
meeting at which action is to be taken thereon, and the members have been advised of the
content of such proposal prior to the meeting at which action is to be taken. The
Executive Committee may adopt such rules as it deems necessary for the conduct of its
meetings.
Article X
AMENDMENTS
This Constitution may be amended by a majority of the votes cast by the members present at
any meeting, voting in accordance with the provisions of Article VIII hereof, provided
copies of any such proposed amendment shall have been presented in writing to the
Executive Committee and copies mailed to members entitled to vote thereon not less than
thirty (30) days prior to such meeting. As amended April, 1981
